Terms of Service

Effective date: [to be completed]

This is a template document and must be reviewed by qualified legal counsel before being used in production.

These Terms of Service ("Terms") govern your access to and use of the SASLab ERP platform. By creating an account or using the service, you agree to these Terms on behalf of your organization.

1. The service

SASLab ERP is a cloud-based business management platform providing CRM, invoicing, accounting, contracts, e-commerce and related tools. We may update, improve or modify features over time. We do not provide legal, tax or accounting advice; outputs such as tax reports are tools to assist you and should be reviewed by a qualified professional.

2. Subscriptions and billing

Subscriptions are billed monthly in Canadian dollars (CAD). Prices are exclusive of tax; applicable GST/HST is added at checkout based on your province. New accounts may include a free trial period. Fees are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period, after which the account may become read-only.

3. Acceptable use

You agree to use the service lawfully and not to misuse it, including by attempting unauthorized access, interfering with its operation, uploading malicious code, or using it to store or transmit unlawful content. You are responsible for the activity of all users under your account and for keeping credentials confidential.

4. Intellectual property

We retain all rights, title and interest in the platform, including its software, design and trademarks. You retain ownership of the data you enter. You grant us a limited licence to host and process that data solely to provide the service.

5. Limitation of liability

The service is provided "as is" and "as available". To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential damages, and our total liability is limited to the fees you paid in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be excluded under applicable law.

6. Termination

You may terminate by cancelling your subscription. We may suspend or terminate access if you breach these Terms or fail to pay applicable fees. Upon termination you may export your data for a reasonable period, after which it may be deleted in accordance with our Privacy Policy.

7. Governing law

These Terms are governed by the laws of Canada and, where the customer is established in Québec, the laws of the Province of Québec, without regard to conflict-of-law rules. The parties submit to the courts located in Canada having jurisdiction.
